Terms of Service

1. Agreement to Terms

These Terms of Service (“Terms”) constitute a legally binding agreement between you and Fika It Solutions, Lda (NIF 518278530), with registered office at Parque de Ciência e Tecnologia da Ilha Terceira, 9700-702 Terra Chã, Angra do Heroísmo, Açores, Portugal (“Company”, “we”, “us”).

By creating an account or using the OneOnOne service (“Service”), you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must not use the Service.

2. Description of Service

OneOnOne is a web-based tool designed to help managers run structured, meaningful one-on-one meetings with their team members. The Service includes:

Structured 1:1 session frameworks, meeting notes, and icebreakers.
Action item tracking with follow-through monitoring.
Happiness check-ins with trend analysis and drop detection.
SMART goal setting and progress tracking.
AI-powered features including session preparation, performance evaluations, and team pulse reports.
Team retrospectives with real-time collaboration, voting, and export.
Manager Academy with structured learning sessions and quizzes.
Company health dashboards and manager effectiveness scores.
Direct report and session data export.
Team transfers between managers.

The Service is currently in beta. Features, availability, and functionality may change without prior notice as we continue to develop and improve the product.

3. User Accounts

You must provide accurate and complete information when creating an account.
You are responsible for maintaining the confidentiality of your login credentials.
You must notify us immediately of any unauthorised use of your account.
Each account is intended for a single individual. You may not share your account with others.
You must be at least 16 years of age to create an account.

4. Acceptable Use

You agree not to:

Use the Service for any unlawful purpose or in violation of any applicable laws.
Attempt to gain unauthorised access to any part of the Service or its systems.
Interfere with or disrupt the integrity or performance of the Service.
Use automated tools (bots, scrapers, crawlers) to access or extract data from the Service.
Upload content that is defamatory, obscene, threatening, or otherwise objectionable.
Impersonate any person or entity, or misrepresent your affiliation with any person or entity.

5. User Content

You retain full ownership of all data and content you create within the Service, including meeting notes, framework responses, action items, goals, happiness check-ins, retrospective contributions, prep notes, feedback, and any other user-generated content (“User Content”).

By using the Service, you grant us a limited, non-exclusive licence to store, process, and display your User Content solely for the purpose of providing and operating the Service. This includes transmitting relevant portions of your User Content to third-party AI providers to generate insights, evaluations, and recommendations as described in Section 6. We will not use your User Content for any other purpose without your explicit consent.

6. AI-Generated Content

Certain features of the Service use artificial intelligence (“AI”) to generate content, including session preparation talking points, performance evaluations, and team pulse reports. To provide these features, we send relevant session data (such as names, roles, framework responses, happiness scores, and action items) to our AI provider (Microsoft Azure OpenAI) for processing.

AI-generated content is provided for informational purposes only and should not be treated as a substitute for professional judgment or formal performance reviews. We do not guarantee the accuracy, completeness, or suitability of any AI-generated output. You are solely responsible for how you use and act upon AI-generated content.

Your data sent to the AI provider is processed under our data processing agreement with Microsoft and is not used to train AI models.

7. Retrospectives and Shared Sessions

Retrospectives are collaborative sessions accessible via a unique link code. By creating or joining a retrospective, you acknowledge that:

Any content you contribute (tickets, notes, votes, reactions) will be visible to all participants in that retrospective.
Your display name will be visible to other participants.
Guest participants may join without an account by providing a display name.
Real-time collaboration is facilitated through a third-party service (Pusher), which processes event data as described in our Privacy Policy.

8. Subscriptions and Billing

The Service offers a free tier and paid subscription plans. During the beta period, Pro features are available at no charge. After beta, paid plans will be billed on a per-manager, per-month basis.

Payment processing is handled by Stripe. We do not store your payment card details; they are processed directly by Stripe.
Subscriptions renew automatically unless cancelled before the renewal date.
You may manage your subscription, update payment methods, or cancel through the billing portal.
Seat counts are automatically adjusted based on the number of active managers in your organization.
After beta, downgrading to the free plan may limit access to certain features, but your data will be retained.

9. Intellectual Property

The Service, including its design, branding, code, and all related materials, is owned by Fika It Solutions, Lda and is protected by applicable intellectual property laws. Nothing in these Terms grants you any right, title, or interest in the Service beyond the limited right to use it in accordance with these Terms.

10. Service Availability and Beta Disclaimer

The Service is provided on an “as is” and “as available” basis. As a beta product, we do not guarantee:

Uninterrupted or error-free availability of the Service.
That all features will remain available or unchanged.
That data will not be lost due to system issues (though we make reasonable efforts to protect it).

We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with or without notice.

11. Limitation of Liability

To the maximum extent permitted by applicable law, Fika It Solutions, Lda shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, or goodwill, arising out of or related to your use of or inability to use the Service.

Our total aggregate liability for any claims arising from or related to the Service shall not exceed the amount you have paid us (if any) in the twelve (12) months preceding the claim.

12. Indemnification

You agree to indemnify and hold harmless Fika It Solutions, Lda, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses arising from your use of the Service or violation of these Terms.

13. Account Termination

You may delete your account at any time from the account settings page. Deletion is permanent and irreversible.
We may suspend or terminate your account if you violate these Terms or engage in abusive behaviour.
Upon termination, all your data will be deleted in accordance with our Privacy Policy.

14. Changes to These Terms

We reserve the right to modify these Terms at any time. If we make material changes, we will notify you via the email address associated with your account at least 15 days before the changes take effect. Your continued use of the Service after the effective date constitutes acceptance of the revised Terms.

15. Governing Law and Jurisdiction

These Terms are governed by the laws of the Portuguese Republic. Any disputes arising from or related to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of Angra do Heroísmo, Açores, Portugal.
